OpenAI has completed a reported $7 billion tender offer, repurchasing shares from current and former employees at an $852 billion valuation. The OpenAI $7B tender offer was funded by the company rather than outside investors, according to Bloomberg, giving employees liquidity while leaving the company’s last reported valuation unchanged.

Bloomberg, citing people familiar with the private transaction, reported August 10 that OpenAI bought the stock from employees itself. OpenAI had not publicly confirmed the terms in the reporting reviewed, and the company’s valuation, share price and buyer structure therefore rest on accounts from anonymous sources.

The $852 billion valuation matches the price set in OpenAI’s most recent $122 billion funding round, Bloomberg reported. That comparison is meaningful as a price marker, but this transaction was not a new financing round and did not add operating cash to OpenAI.

What does the OpenAI $7B tender offer mean?

A tender offer lets private-company shareholders sell stock before an acquisition or public listing creates a broader market for it. In this case, OpenAI reportedly used its own cash to buy existing shares, so the transaction shifted ownership from employees to the company rather than bringing new investors onto its cap table.

For employees whose compensation includes private-company equity, the deal offers a route to realize some value without waiting for an IPO. The mechanics can matter as much as the headline valuation: an employee tender is a liquidity event, while a primary financing raises money for the company and normally issues new shares. OpenAI has used employee stock sales before. Tech Funding News reported a $6.6 billion employee transaction at a $500 billion valuation in October 2025, and a $1.5 billion tender involving SoftBank in 2024. The newly reported deal is larger and holds at the valuation from March rather than establishing a new one.

Has OpenAI set an IPO date?

No public listing date is established by the tender. Dealroom reported that OpenAI confidentially filed IPO paperwork with the Securities and Exchange Commission in June 2026, but that account did not include a timetable for a debut. Bloomberg described a Wall Street listing as a possibility, not a scheduled event.

That distinction limits what can be read into the buyback. A company-funded tender can reduce liquidity pressure among employees as a private company weighs a listing, but it does not confirm whether or when OpenAI will go public. Nor does the unchanged $852 billion figure, on its own, show how public-market investors would value the company.
