Bending Spoons has signed a definitive agreement to buy Airtable in cash, the companies said, in a transaction with a $1.285 billion enterprise value and an implied equity value of about $2.25 billion. The pending Bending Spoons Airtable acquisition would give the Italian software buyer 100% of Airtable’s outstanding shares, subject to regulatory clearance and customary closing conditions.
The distinction between the two values is material. Bending Spoons’ announcement identifies $1.285 billion as enterprise value, then says Airtable’s current net cash and cash-equivalents balance brings the implied equity value to approximately $2.25 billion. In other words, the companies disclosed roughly a $965 million difference between the headline enterprise-value figure and implied equity value, tied to Airtable’s net cash position.
Both companies’ boards unanimously approved the agreement, according to Bending Spoons. The parties expect to close later in 2026, but the deal has not closed. Airtable and Bending Spoons will continue operating independently until then.
What is Airtable’s valuation in the Bending Spoons deal?
The announced $1.285 billion figure is Airtable’s enterprise value, not the implied equity value. The announcement puts implied equity value at about $2.25 billion after accounting for Airtable’s stated net cash and cash equivalents.
Bending Spoons said Airtable’s annual recurring revenue rose more than 20% year over year to about $480 million as of June 2026. On the company’s figures, the stated enterprise value is about 2.7 times ARR. That is an enterprise-value-to-ARR calculation, not a measure of profitability, cash flow or the final return on the transaction.
Airtable sells a platform that combines spreadsheet-style interfaces with databases, workflow automation and tools for building applications without traditional software development. Airtable co-founder and chief executive Howie Liu said more than 500,000 organizations use the product, including 80% of the Fortune 100. Those customer figures are company claims.
Bending Spoons’ first acquisition since listing
The proposed transaction is Bending Spoons’ first acquisition since the company listed on Nasdaq on July 1, 2026, the buyer said. It follows Bending Spoons’ acquisitions of AOL in January and Eventbrite in March, according to the announcement.
The deal also puts a fresh public reference point on Airtable after its venture-era pricing. SiliconANGLE reported that Airtable had raised about $1.4 billion and was valued at $11.7 billion after a $735 million Series F financing in 2021. The announced transaction terms do not disclose how the implied equity value will be allocated among Airtable’s shareholders.
Bending Spoons CEO and co-founder Luca Ferrari said the company intends to invest in Airtable over the long term and expand the platform’s capabilities. That plan, like the expected closing date, remains forward-looking. Bending Spoons’ disclosure also lists risks including failure to obtain approvals or meet closing conditions, potential operating disruption and employee-retention challenges.
